We’re excited to submit a proposal to you and very anxious to begin the project. I want to start off by telling you a little bit about Converg that you may not know, then, we’ll get into the proposal which begins on the next page.

Converg is a United States based company with Headquarters in the Kansas City Metro area. We’ve been in business since 2006, helping companies just like yours with their internet marketing needs.

The scope of this project has two phases.

  1. Research and Analysis. Approximately 30 days   Identifies competition, keywords to build content around and to focus on in the Digital PR Phase.
  2. Digital PR Phase. 12 month minimum engagement begins upon completion of Research & Analysis.

As we discussed in our initial meeting we will consult and assist you with various aspects of your internet marketing program beyond the scope of this proposal to improve your efficiency and performance on the internet.  We have a vested interest in how well you do.

Project Overview

Converg will ensure the project is focused on achieving its objectives and delivering a service that will achieve the expected benefits.  Converg will manage the execution of the detailed services to insure timely completion and adherence to project timelines within agreed tolerances.

The Initial first month of this Agreement will be R&D to fully configure and setup the project thereafter, the full 12 month term of the agreement will start

Converg will deploy client’s agreed upon keywords on Converg’s managed properties to include key phrases initially across approx. 80 different domains that are one-way (“do follow”) inbound links to client’s website expanding to approx. 140 different higher PR websites naturally as time goes on to build up and reinforce client’s in-bound linking.

Project Deliverables

Initial R&D:  Virtual Month  (Approximately 30 days)

Project Plan Setup - Converg will designate and appoint a project management team (in particular the Project Manager), develop this Project Plan as outlined here ensuring that the project is aligned with corporate strategies and will oversee the execution of the detailed Service & Monitor and control the progress of the project at a strategic level, in particular reviewing the Project Plan regularly.

Keyword Research & Website Analysis - to include discovery, website analytics, basic keyword research and analysis, and competitive analysis.

Author Creation - Converg will create an Author Profile in approximately 100 popular article websites for the client’s article submissions.

Social Media Profile Setup – Converg will create (if not already created) social profiles with basic information such as a logo and backlink to the client’s website in the top 10 Social Media websites.

Video Production & Distribution & Embedding & Bookmarking - We will create a high quality video outlining client’s business with a voice-over or professional spokesperson.  A script will be provided to the client for prior approval and the video can be embedded within client’s website and will be distributed to various video locations, embedded to another group of video websites and finally video bookmarked and shared to about 50 more locations. This first video will begin in the setup phase and may overlap into the monthly services phase.

Website Analysis - to include discovery, website analytics, keyword research and analysis, and competitive analysis.

Enhanced Business Listing - Detailed business listing information will be created in the top 30 most popular business directories with URL, images, videos, maps and specific information about the business along with creating a positive review about client’s business and promote that as well.  In addition, if the client is a B2B company, we will then include the client’s business information in the top 5 B2B websites.  In conclusion, we will submit client’s business details to about 500 additional locations and business directories.

Speed Test Audit – Converg will analyse and provide recommendations to increase the client’s website page speed for our targeted landing pages and homepage to ensure they meet search engine criteria.

On-Site Content Optimization Audits- Converg will audit website content to ensure content matches page metadata and headings as well as ensure best practice for keyword inclusion is maintained in the content.

Provisioning within the Converg backend – a private area will be created for monitoring and report creation to include analytics and ranking reports.

Ongoing Monthly Services

Keyword Phrases – (based on analysis in initial setup) will be provisioned on Converg’s properties.  The initial keywords will deploy to approximately 80 different PR domains and will expand out to approx. 140 different properties.

Monthly Premium Article Writing & Distribution – we will create and manually post 2 Articles to various article websites/directories.  Each Article will have backlinks to clients’ website for the keywords agreed upon and will ensure at least 25 sites approve and link back to client’s website.

Monthly Multimedia Content Creation & Promotion – we will create business presentations in the form of slideshows, PDF or word docs and get them published in document hosting sites like slideshare, docstoc, etc. Client created whitepapers and case studies can also be turned into downloadable contents in the form of ppts for business promotion. This is capable of having a wider reach among client’s target audience to generate more traffic.

Monthly Business Submissions – Utilizing the Enhanced Business Listing we setup for the client, we will naturally submit the client’s website details to up to approx. 50 different directories each month for approximately 10 months.

Bi-Monthly Advanced Press Releases – Bi-Monthly, we will create and distribute a newsworthy press release about the client’s business and services.  In addition we provide live links, featured listings, news bookmarks and news syndications.  These Press Releases are posted to approx. 90 popular News PR Directories.

Local IP Address – If needed, we can provide a Local IP Address, to ensure local presence with Search Engines along with optimizing client’s Google+ page

Bi-Monthly Video Creation, Distribution, Embedding & Bookmarking – Bi-Monthly, we will create a new standard Video and provide and distribute it to approximately the top 25  video distribution locations, then embed that same video in about 25 other locations.  Once that is complete, we will take those links and Bookmark & Share those with approximately 50 more sites.  We will create the promotional video Bi-Monthly and target 1 keyword per video.

Monthly Blog Writing & Posting – Monthly, we will create 2 Blogs with approximately 200 to 400 words to enhance your website with meaningful, well-constructed, and fresh content to assist in increasing the conversion rate of visitors.

Blog Directory & RSS Feed Links  we help promote your website by submitting it to approximately 100 blog directories, specifically noting your category and industry.  This helps build up your relevancy in your industry by being listed in your category for your services.  In addition, we will submit your RSS feed link for your website and syndicate your content to about 75 different locations to incorporate your content into various content aggregators to help recognize and publish your contentWe can also automate the submission of new blog entries made from your website to your LinkedIn account as well as your associate’s LinkedIn accounts (up to 10 accounts) upon approval from each.

Google Webmaster Tool Audits – Converg will actively monitor crawl errors, canonical issues, and any notices that are detrimental to your website.

Backlink Review and Audits review of all backlinks to insure non-relevant links to your website are eliminated.  Non-relevant links can cause search engines to lower your industry relevance thus dropping page rank.

Monthly Social Bookmarking – (Delayed & Dedicated Social Bookmarking) dedicated accounts will be created in the most popular Social Bookmarking platforms for the client.  Afterwards & each month, excerpts about client’s keywords and business information will be slowly added to social bookmarking sites over the entire month vs all at once.  This provides for a more natural behavior in sharing information thus maximizing the effect with search engines.

Local Business Directory – If KC Related or doing business in, we will create a mini-page presence on KCMetro.com with do-follow links to client’s website.

Link Promotion – as we create link reports throughout the month, we will tell multiple search engines, popular crawlers and blog sites that there is something new to look at on the Internet, telling them about each of the new links that were created due to our work.

Monthly Ranking Reports – to monitor existing rankings and traffic compared to the baseline beginning.  Identify trends to include progress of previous month with statistics and details regarding project.

As Needed

Click Analysis Report (Heat Map) & User Engagement Analysis -   detailed analysis that goes beyond Google Analytics. This report is done on an as needed basis to show the effectiveness of content and where visitors are engaging on the client’s website.

Click measurements are analyzed to determine how effective the content on the site engages the visitor.  The report shows clicks on all page elements not just on links.  This helps evaluate the overall usability of the client's website and will show the most popular areas and sections.  The Click Analysis report will in the format of a "Heat Map" where the warmer the color, the higher the frequency and vice versa.

Additionally, the client will be provided a User Engagement Analysis where users of the client’s site will be identified along with recording their mouse movements and information as they submit forms.  Previously when a visitor "bounced" and left a page, there was no record of their involvement with that page.  With this capability of recording the actual mouse movements (or finger for smartphones/tablets) before they left, an analysis can be performed to determine if they engaged before leaving.

General Terms and Conditions
WHEREAS, Converg Media LLC (“Converg”) is a Series of NetraCorp LLC and an organization dedicated to the success and prosperity of businesses providing Website Search Optimization Services, Digital Public Relations and other important services; NOW, THEREFORE, in consideration of the foregoing with good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Converg and Virtual Drive LLC ("Client") hereto hereby agree as follows:
  1. Services. Converg agrees to provide Website Search Optimization Services and publish the Client in accordance with the services outlined on this agreement.
  2. Fees, Payment and Cancellation. In consideration of the publishing of the Client on our Properties and Search Optimization Services as stated in this agreement, Client agrees to pay Converg the price quoted with the term auto-renewing at the end of the initial term, unless cancelled in writing 30 days or more prior to the end of the term.
  3. Due Date for Payment: 25% of the first year fee is due upon execution of this agreement. Thereafter and as long as this agreement is in effect, fees will be invoiced and paid quarterly. Each Quarterly payment will be due within 7 days of receipt of invoice.
  4. Right to Refuse Unacceptable Advertising. As a precondition for the right to advertise, Client must be current with all invoices and in good standing. Converg reserves the right to (a) reject any Advertisement for any reason at any time even though a reservation has been previously acknowledged and (b) refuse any Advertisement that does not completely conform to every detail, instruction, method and guideline determined by Converg in its Technical Specifications (subject to change at any time by Converg in its sole discretion).
  5. Truth in Advertising and Indemnification for Liability. Client is solely responsible for any legal liability arising out of or relating to (1) the Advertisement, and/or (2) any material to which users can acquire through the advertisement. Client specifically represents and warrants that the Advertisement complies with appropriate Converg and Community advertising standards, and that it holds all of the necessary rights to permit the use of the Advertisement by Converg for the purpose of this Agreement; and that the use, reproduction, distribution, or transmission of the Advertisement will not violate any criminal laws or any rights of any third parties, including, but not limited to, such violations as infringement or misappropriation of any copyright, patent, competition, defamation, invasion of privacy or rights of celebrity, violation of any anti-discrimination law or regulation, or any other right of any person or entity. Client agrees to indemnify Converg and to hold Converg harmless from any and all liability, loss, damages, claims, or causes of action, including reasonable legal fees and expenses that may be incurred by Converg, arising out of or related to Client's breach of any of the foregoing representations and warranties.
  6. Limitation on Damages. In no event will Converg be liable to Client for any special, incidental or consequential damages, whether based on breach of contract, tort (including negligence), or otherwise, and whether or not Converg has been advised of the possibility of such damage. To the maximum extent allowed by law, Converg and any of its parents, members, subsidiaries, affiliates, service providers, licensors, officers, directors or employees shall not be liable for any direct, indirect, special, incidental or consequential damages (no matter how they arose, including negligence), or for interrupted communications, lost data or lost profits, arising out of or in connection with the Converg Services. Further, Converg will not have any liability for any losses arising because its service is not operational or accessible.
  7. Maintenance and Correction of Errors Converg takes no responsibility for the functionality or maintenance (unless a maintenance contract is in place) of the Website after the Work has been completed. Errors (both technical and typographical) attributable to Converg will be corrected free of charge, but Converg reserves the right to charge a reasonable fee for correction of errors for which Converg is not responsible, including, but not limited to malicious modification of the Website by a third party and typographical errors contained in materials provided to Converg by the Client.
  8. Search Engine Services Disclaimers and Conditions. Search Engine Optimization (SEO) work and Search Engine Marketing (SEM) are services offered collectively by Converg and each are subject to the individual agreement reached with each client. SEO work is governed by many factors which are outside the direct control of Converg; therefore Converg cannot guarantee particular results. Converg however guarantees improvement provided in a client’s website organic search engine results provided all of Converg advice is followed.  Ranking results will be performed once or twice per month as necessary. Results are based on listings found on Google and Yahoo!  Bing results. Monthly reports (where applicable) will be circulated to clients within the first part of each month. The delay is inevitable in order to take into account metrics which accumulate over time and have a built-in time lag. Your website’s ranking with a particular Search Term will rely on both the relevancy of that term on your pages, and the popularity of that term on other websites. Both SEO Set Up and Updates will probably require FTP access to the website and its content management system or a contact email address for someone who will upload changes as requested. This may not be necessary for off-page SEO/SEM work. Your website should be hosted on a reliable server, based in the country of Search Engine interest, with constant availability, for optimum results. Should Converg recommend changing your host or server, this is to protect the interests of your website’s ranking within the Search Engines. Converg cannot be held responsible for slipping or unsatisfactory Search Engine Ranking results if SEO suggestions have not been adhered to. Converg cannot be held responsible for problems or additional costs arising due to any errors made by third parties, or failure to maintain a current copy of your own website. (Backups can be made at your request.)  Converg shall not be responsible for URLs dropped or excluded for any reason.  Converg reserves the right, where services have been fulfilled and the client has followed instructions by the said company, however still reverses credit card charges, a debt collection agency will be commissioned, who will then recover payment for services rendered. By law, an order placed by the client, is an intent to buy and cannot rescind solely because of a change in mind. Orders placed through the web site are not altered in any way unless authorized to do so by client. All orders are processed according to authorization to do so. If there are any changes contact Converg immediately.  Converg shall not be responsible for delays or failure of performance resulting from Internet Service Provider delivery problems or failure, or any communication or delivery problems associated with Client’s order details, such as incorrect email address or URL address. Due to any reasons beyond our control that causes your order not to be completed within the said maximum timeframe, either due to system issues, Internet downtimes or extreme congestion, Converg reserves the right to complete the technical services of the orders within 30 working days at time of placement of the order deducting weekends. Converg does not warrant or represent that the use or the results of the use of the materials available through the Converg Search Services or from third parties will be correct, accurate, timely, reliable or otherwise. Converg is not responsible for any undoing of Search Optimization work by the client or any other third party. Redoing SEO work is charged at USD 175/hour. Notwithstanding the security precautions taken against disclosure of information, there are certain conditions that exist on the Internet generally which are outside Converg’s control and could result in a breach of security. You hereby expressly waive any claim against Converg arising out of the loss of data through corruption, piracy, and breach of security or for any other reason.
  9. Creative Services. The Client may be required to supply materials and information required for Converg to complete the work in accordance with the agreed specification.  Such materials may include, but are not limited to, photographs, written-copy, logos and other printed materials.  Where the Client's failure to supply such materials leads to a delay in completion of the work, Converg has the right to extend previously agreed deadlines for the completion of the work by a reasonable amount.  Where the Client's failure to supply materials prevents progress on the Work for more than 21 days, Converg has the right to invoice the Client for any part or parts of the Work already completed. On completion of the work, the Client will be notified and have the opportunity to review it.  The Client should notify Converg, in writing, of any unsatisfactory points within 24 hours of receipt of such notification.  Any of the work which has not been reported in writing to Converg as unsatisfactory within the 24 hours review period will be deemed to have been approved.  Once approved, or deemed approved, work cannot subsequently be rejected, and be deemed to have been completed. The Contract will remain in effect until all obligations have been completed in terms of this Clause.  If the Client rejects the Work within the 24 hours review period, or will not approve subsequent work performed by Converg to remedy any points reported by the Client as unsatisfactory, and Converg considers that the Client is unreasonable in repeated rejection of the work, the contract will be deemed to have expired, Converg may take any legal measures to recover both payment for the completed Work and reasonable expenses incurred in recovering payment.
  10. Miscellaneous.
(a) Independent Contractors. The relationship between the parties is that of independent contractors and nothing contained in this Agreement shall be construed as creating any other relationship whatsoever between Client and Converg.  In particular, nothing in this Agreement shall be construed to place Client and Converg in a relationship as partners, joint ventures, employer and employee, or principal and agent, respectively.
(b) General Representations and Warranties. Each party hereby represents and warrants to the other party that it is duly organized, validly existing, and has the full and unrestricted power and authority, corporate and otherwise, to execute and deliver this Agreement and to perform all of its obligations under this Agreement.
(c) Survival. It is the express intention and agreement of the parties that all covenants, agreements, statements, representations and warranties made in this Agreement shall survive the execution and delivery of this Agreement, and those set forth in Section 5, Section 6, Section 10(g), Section 10(l), Section 10(r) and this Section 10(c) shall survive the termination of this Agreement for any reason whatsoever.
(d) Offers and Proposals. Offers and proposals made by Converg to potential clients should be treated as trade secrets and remain the property of Converg.  Such offers and proposals or the information contained within them must not be passed to third parties or publicly disseminated without prior written authorization from Converg.  This includes, but is not limited to, technical functionality, aspects of design, methodology, proposals or pricing.
(e) Exercise of Rights. No failure or delay on the part of a party in exercising any right, power or privilege hereunder and no course of dealing between the parties shall operate as a waiver thereof; nor shall any single or partial exercise of any right, power or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, power or privilege. The rights and remedies herein expressly provided are cumulative and not exclusive of any other rights or remedies which a party would otherwise have at law or in equity or otherwise.
(f) Binding Effect. Subject to any provisions hereof restricting assignment or transfer, this Agreement shall be binding upon and shall inure to the benefit of the parties hereto and their respective administrators, legal representatives, successors and permitted assigns.
(g) Limitation on Benefits of this Agreement. It is the explicit intention of the parties that no person or entity other than the parties hereto is or shall be entitled to bring any action to enforce any provision of this Agreement against any party, and that the covenants, undertakings and agreements set forth in this Agreement shall be solely for the benefit of, and shall be enforceable only by, the parties hereto (or their respective successors and assigns as permitted hereunder). This Agreement contains the entire agreement between the parties with respect to the transactions contemplated herein, and supersedes all prior oral or written commitments, understandings or agreement with respect to the matters provided for herein and therein.
(i) Amendments. All provisions of this Agreement shall remain in effect throughout the Term unless the parties agree, in a written document signed by both parties, to amend, add or delete any provision.
(j) Applicable Law. This Agreement, the rights and obligations of the parties hereto, and any claims or disputes relating thereto, shall be governed by and construed in accordance with the laws of Johnson County in the State of Kansas (but not including the choice of law rules thereof).
(k) Arbitration. The parties pledge to take all reasonable steps to work out, in an amicable fashion, any business differences that may arise. In the event that the dispute cannot be worked out consensually, then the parties shall submit such disputes to arbitration before a single arbitrator in Johnson County, Kansas, subject to the rules of the American Arbitration Association.
(l) Impossibility of Performance. Noncompliance with this Agreement for reasons of force majeure, such as acts of God; acts, regulations or laws of any government; war or civil commotion; destruction of production facilities and materials; fire, earthquake or storm; labor disturbances; failure of public utilities or common carrier; or any other causes beyond the reasonable control of the parties, shall not constitute material breach of this Agreement.
(m) Promises. Upon signing this agreement, Client has not relied upon any promise or statement other than that which is stated in writing herein.
(n) Understanding of Terms. This contract is non-cancelable by Client except as outlined in the Fees, Payment and Cancellation clause above and contains Client’s full and complete understanding of its terms.
(o) Price Increases.  Converg reserves the right to increase prices for services on the anniversary of this contract.  Price increases are guaranteed not to exceed more than 10% per year.
(p) In Event of Non-Payments. Converg reserves the right to use the Client’s credit card in the event of non-payment pursuant to the conditions listed in this contract.  Your signature on this contract will remain on file to guarantee any future payment. Non-payment of balance due may result in removal from our Properties and forfeiture of previous monies paid
(q) Domain Name Registration. Domain Name(s) obtained for Client will belong to the Client.  The Client agrees to indemnify Converg, including any incidental costs, against any claims that a Domain Name applied for, or obtained, violates the intellectual property rights of a third party.  The Client warrants that the domain name sought is not a trademark of a third party.
(r) Attorney’s Fees and Costs. In connection with any litigation arising out of this Agreement, Converg shall be entitled to recover all costs incurred, including reasonable attorney’s fees, for services rendered in connection with such litigation, including collection services, appellate proceedings and post-judgment proceedings.
